Stanley and Black & Decker are the two biggest tool compines in home improvement. They have talked about joing together for about three decades and its finaly happening. Its going to be Stanley who will buy Black & Decker for the great amount of $3.4 billion which makes the tool compines worth $8.4 billion combined. Together the compines even out, with each company bringing there own mix to the table. The company will be called Stanley Black & Decker and will keep many names for tools the same. Stanley is known for their handtools and construction equipment, while Black & Decker is best in power tools. The deal includes that Black & Decker will recive about 1.275 Stanley shares for each of their stock holdings. Stanley will own about 50.5% and Black & Decker about 49.1%, with the board having six directors from Black & Decker and nine for Stanley. This meger was being talked about so long ago, but the two compines kept hitting speed bumbs to make it work. Then John F. Lundgren, who is chief executive of Stanley, and Nolan D. Archibald of Black & Decker meet to disscuss the meger again. In an interview Nolan said, “The more we looked at it, the more it made sense.” So the two gathered a team to make the meger happen. With the meger Lundgren will remain in chief executive position and Archibald will become executive chairman for three years. Stanley Black & Decker will keep there headquarters in New Britan, Conn., with the power tools division in Towson, Md.

Toolmaker Deal Ends a 28-Year Courtship

Cisco is willing to pay $35 a share for Starent Networks, which is about $2.9 billion. Starent is getting more per share if they take the deal because Cisco is offering a 20% premium, the cloesing price was $29.03 per share. Cisco is just betting on consumers we keep downloading data on to there smartphones and labtops. Starent has products that create and manage high-speed data services, which Cisco needs. Ned Hooper, Cisco’s chief strategy officer says, “We have had a huge explosion in data traffic and we expect the market for mobile data to double every year through 2013.” Cisco have been making other deals in lately also; one with Tandberg, a Norwegian maker of videoconferencing systems and with Pure Digital, a start-up that developed the popular Flip video cameras. Cisco has no plan to stop spending money and buying out companies. Mr. Chambers, chief of executive of Cisco, has vowed to direct part of that money to thrusting Cisco into an array of new markets. Cisco is the largest supplier of the routers and switches that help direct data and voice traffic between computing systems, which might explain why they have the money to buy these compines. Cisco seems likes its really trying to get there hand into the new market of technology and hopes that consumers will keeping buying. They have taken a lot of big bets on how the market might play out, but in the long run i think they are right. The technology of wireless and phones is growing every year and to get in now would be a good thing.

Ford has come out with a new car and is bulding it in India. The car is called the Figo and ford is hoping that it will attract the Asian buyers. The car is four door hatchback and been designed with the help of Indian engineers. The main hub for the car production will be located in India and the cars will be shipped to nearby countries. The Figo is going to be for sale in 2010, but Ford has not yet released the price or fuel consumption. Ford’s $500 million investment to transform its manufacturing plant in Chennai, formerly Madras, in southeast India is started off with the introduction of the Figo. Alan Mulally, chief executive of Ford states, “Asia-Pacific is a really important market for us and we will accelerate our presence in the market.” Tons of car manufactures want to foucs on India and China. “India and China are going to be the game-changers in the next decade, so it is natural for the major manufacturers to focus on them,” says Neeraj Bandhu. Ford is new in the Indian market and was a mystery for Ford. The cars name Figo means “cool” in Italian when Hindi is the most widely spoken language in India. Mr. Bandhu says, Ford’s new approach wins praise. In the past, “they did not target the mass market, or refresh their product.” He also stated that there is a lot of interset in hatchbacks. Ford overall made a very good move to make this car and introduce it in a new market.

Ford Hopes New Figo Will Help It Win Asian Buyers

Kraft Food  wants to takeover Cadbury for a price of 16.7 billion. Cadbury thinks that this offer is to low and wants more money. Cadbury shares went up 41 percent in London trading and some people would say that Cadbury is worth 43 percent more than what Kraft offered. If Kraft were to join with Cadbury there revenue for next year would be as much as 50 billion. If Kraft could takeover Cadbury it would help them compete with other top compines such as Nestle witch is there biggest rival. Cadbury is most popular over seas in countries such as India and Britain and if Kraft gets Cadbury, they get those countries also. Nestle does not have a gum business and Kraft does, so getting Cadbury would put Kraft over Nestle. The takeover bid for Cadbury came at a really bad time for the company. Todd Stitzer states, ” The company is halfway through its plan to increase operating profit margins to about 15 percent in 2011, from about 10 percent in 2007. Cadbury’s shares have risen about 33 percent since it spun off its Dr Pepper beverage unit in 2008.” Ms. Rosenfeld Kraft’s chief executive, had a meeting with Cadbury’s chairmen, Roger Carr, in this meeting Cadbury denied Krafts proposal. Rosenfield wanted to make the make the offer public to encourage further discussions.

Rebuff by Cadbury Doesn’t Deter Kraft

Disney recently made the decison to join up with Marvel. They did so in believing that Marvels million dollar movies with bring  in more money for Disney. Disney has very succesful movies such as the Priates of the Caribbean but with Marvels million dollar movies such as; The Hulk, Spiderman, X-Men, and Iron Man they can bring in more money. The decsion has been made for Disney to buy Marvel, but it must clear under the Hart-Scott-Rodino Antitrust Act. Marvels stockholders also need to approve the deal. Disney will pay about fifty dollars a share which translates into about four billion dollars. The president of Disney, Robert A. Iger states, “We believe that adding Marvel to Disney’s unique portfolio of brands provides significant opportunities for long-term growth and value creation.” When the two come together Marvels chief executive Ike Perlmutter says, “Disney is the perfect home for Marvel’s fantastic library of characters given its proven ability to expand content creation and licensing businesses.” Ike will still oversee Marvel but within Disney. I believe that this is a very good thing for both Disney and Marvel. Disney already has many characters in there movies, but with Marvels characters both Disney and Marvel will grow rapadly.  I see that Disney hit the jackpot in getting Marvel because of there greats movies. With putting these two compaines together i think that the imagination will grow and they will be coming up with greater characters than before. I dont forsee and problems in this business deal and think that everything will go over smoothly.
